Introduction
These Terms of Service govern your use of the Maia Studio website (maiastudio.uk) and the services we provide. By using our website or engaging our services, you agree to these terms. If you do not agree, please do not use our website or services. Maia Studio is a trading name operated in the United Kingdom. References to "we", "us", or "our" refer to Maia Studio.
Our services
Maia Studio provides social media management, UGC content creation, content strategy, and community management services for businesses and brands. The specific scope, deliverables, and pricing for each client engagement are agreed in a separate Service Agreement or Statement of Work. These Terms apply generally to all use of our website and services. In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement shall prevail.
Use of our website
You may use our website for lawful purposes only. You agree not to: • Use the site in any way that breaches applicable local, national, or international laws or regulations. • Transmit any unsolicited or unauthorised advertising or promotional material. • Attempt to gain unauthorised access to any part of our website or servers. • Engage in any conduct that restricts or inhibits other users from using the site. We reserve the right to suspend or withdraw access to our website at any time without notice.
Intellectual property
All content on this website — including text, graphics, logos, images, videos, and software — is owned by or licensed to Maia Studio and is protected by UK and international intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on this site without our prior written consent. Content we create for clients (including social media posts, videos, and graphics) remains the property of Maia Studio until full payment has been received, at which point ownership transfers to the client as agreed in the relevant Service Agreement.
Payment terms
All services are invoiced in accordance with the terms set out in the individual Service Agreement. Unless otherwise agreed in writing: • Invoices are due within 14 days of issue. • Late payments may incur interest in accordance with the Late Payment of Commercial Debts Act 1998. • We reserve the right to pause or suspend services for accounts with outstanding invoices. All prices are quoted in GBP and are exclusive of VAT unless stated otherwise.
Cancellation and termination
Our services operate on a rolling monthly basis unless a fixed-term agreement is in place. Either party may terminate services with 30 days' written notice. Upon termination: • Any outstanding invoices become immediately due. • We will provide you with reasonable assistance to transition content and account access within the notice period. • Work completed up to the point of termination will be invoiced accordingly.
Limitation of liability
To the maximum extent permitted by applicable law, Maia Studio shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our website or services. Our total liability to you in connection with any claim shall not exceed the total fees paid by you to us in the three months immediately preceding the event giving rise to the claim. Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other matter that cannot be limited by law.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
Governing law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Changes to these terms
We reserve the right to update these Terms at any time. The date at the top of this page reflects the most recent revision. Continued use of our website or services after changes are posted constitutes your acceptance of the updated Terms.
